1. Introduction

Welcome to Nocodo. These Terms of Service ("Terms") govern your use of our website and services. Nocodo LTD is a Cyprus-based marketing and web development consultancy company.

By accessing our website or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, please do not use our services.

2. Services Description

Nocodo provides technology solutions including but not limited to:

• Web development and design
• Marketing consultancy
• Enterprise software solutions
• Technology consulting
• Custom software development

Specific services will be outlined in individual project agreements or statements of work.

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information as needed
• Respond to communications in a timely manner
• Provide necessary access to systems and resources
• Make timely payments as agreed
• Respect intellectual property rights
• Use our services in compliance with applicable laws

4. Intellectual Property

Client Materials: You retain all rights to materials you provide to us. You grant us a license to use these materials solely for the purpose of providing our services.

Deliverables: Upon full payment, intellectual property rights in custom work products transfer to you, except for our pre-existing materials and methodologies.

Nocodo Property: We retain all rights to our pre-existing materials, methodologies, know-how, and any improvements thereof.

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Payments are due within 30 days of invoice
• Late payments may incur interest charges
• We reserve the right to suspend services for overdue accounts
• All fees are exclusive of taxes unless otherwise stated

6. Limitation of Liability

To the maximum extent permitted by law, Nocodo's total liability for any claims relating to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives the termination of our services.

8. Termination

Either party may terminate services:

• By mutual agreement
• Upon completion of the agreed services
• For material breach with 30 days written notice to cure
• Immediately for serious breaches including non-payment

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes shall be subject to the exclusive jurisdiction of the courts of Cyprus.

10. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
